1. Acceptance of Terms
These Terms and Conditions (“Terms”) govern your access to and use of the website qicscan.ai and any related content, features, and services we make available through it (collectively, the “Site”). The Site is owned and operated by SG Labs Inc., a Delaware corporation (“SG Labs,” “QicScan,” “we,” “us,” or “our”).
By accessing or using the Site, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Site.
These Terms do not govern use of the QicScan AI software platform itself, which is provided to customers under a separate written agreement.
2. Eligibility
The Site is intended for business users age 18 or older. By using the Site, you represent that you meet these requirements and that you have the authority to bind the organization you represent, if any, to these Terms.
3. Intellectual Property
All content on the Site, including text, graphics, logos, images, videos, software, and the QicScan name and marks, is owned by SG Labs Inc. or its licensors and is protected by U.S. and international intellectual property laws.
We grant you a limited, non-exclusive, non-transferable, revocable license to access and view the Site for your internal business evaluation and informational purposes. You may not:
• Copy, reproduce, distribute, or publicly display Site content without written permission
• Modify, adapt, translate, reverse engineer, or create derivative works from the Site
• Use the Site or its content for any commercial purpose other than evaluating our products and services
• Use any automated means, including bots, scrapers, or crawlers, to access or collect information from the Site, except for legitimate search engine indexing
• Remove, alter, or obscure any proprietary notices or branding

If you submit information through a form, email, or other communication channel on the Site (including demo requests, contact forms, and subscriptions), you represent that the information is accurate and that you have the right to provide it. Do not submit confidential information, protected health information, or regulated data through contact forms on the Site. If you need to discuss confidential matters, contact us to establish a mutually acceptable confidentiality arrangement first.

We do not warrant that the Site will be uninterrupted, error-free, secure, or free of viruses or other harmful components. Performance claims on the Site, including time savings, accuracy rates, and ROI figures, reflect results from specific deployments and are not guarantees of future performance. Actual results vary based on operational context, workflow, and implementation.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SG LABS INC. AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100).

11. Governing Law and Jurisdiction
These Terms and any dispute arising out of or related to them or the Site will be governed by the laws of the State of Delaware, without regard to its conflict of laws principles. You agree that any legal action or proceeding relating to these Terms or the Site will be brought exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of those courts.
12. Changes to These Terms
We may update these Terms from time to time. When we do, we will revise the Effective Date at the top of this page. If we make material changes, we will provide additional notice. Your continued use of the Site after the changes become effective means you accept the updated Terms.
13. Termination
We may suspend or terminate your access to the Site at any time, with or without notice, for any reason, including if we believe you have violated these Terms. Sections that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, indemnification, and governing law) will survive.
14. Entire Agreement and Severability
These Terms, together with our Privacy Policy, constitute the entire agreement between you and SG Labs Inc. regarding your use of the Site. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
